Separate legitimacy from suitability

Evidence of real ownership does not tell you whether the price, concentration or holding period makes sense for you. Consider the effect on your whole portfolio and the money you may need for nearer-term goals.

  • Liquidity: you may be unable to sell when you want.
  • Valuation: different rounds and share classes are not directly comparable.
  • Dilution and rights: later financing can change your position.
  • Information: private-company reporting may be limited.

Model an outcome without an IPO

Ask what happens if the company stays private for many years, needs more capital or fails. Do not use a hoped-for listing date as a cash-flow plan.

  • Can you tolerate a complete loss?
  • What fees continue during a long holding period?
  • Which independent adviser can evaluate concentration and liquidity with you?
